Definitions
"The Company": Tool Marketing Company Ltd
"The Customer": Person(s), firm or company purchasing goods from the Company
"Goods": Goods, which the Customer agrees to purchase and The Company agrees to sell in accordance with these terms and conditions.
New Accounts
All new customers will be required to settle the account prior to delivery of the goods. This is to establish a payment history with Tool Marketing Company Ltd prior to receiving account status. This will be for an agreed period.
Settlement Terms
Once a credit account is agreed, Payment of invoices is strictly 30 days. Late payment could incur additional charges. The Company reserve the right to change settlement terms at any time and will give 30 days' written notice of such intentions.
The Company shall be entitled to charge simple interest on overdue accounts at a rate equal to Minimum Lending Rate and further entitled to charge collection costs incurred on overdue accounts. The Company reserve the right to withhold supplies until the account is settled. The Company also reserve the right to remove credit facilities for persistent late payment. Persistent late payers will not be eligible for promotions and may lose stockist status.
Retention Of Title
Ownership of the goods will not pass to the Customer until payment for these goods and all other goods supplied by the Company has been received by the Company in full and no other sums whatever shall be outstanding and due from the Customer to the Company. Nevertheless, the risk in the goods will pass to the Customer on delivery.
Carriage & Packing
UK mainland orders will be delivered free of charge on order values of £175 + VAT (Available to Customer only and delivered to their premises). UK mainland orders up to the value of £175 + VAT will incur a carriage charge of £6.00 + vat.
Delivery to all UK non-mainland areas, Europe and International areas will be quoted on request. Charges for special deliveries, (e.g. Saturdays) will be quoted on request.
Deliveries are only made to the account holder. Direct end user deliveries are done at the Company's discretion, will be charged at £9.00 and could incur an additional admin fee. The company will not get involved in lost parcel disputes for direct end user deliveries. Any direct delivery additional/extended area surcharges, will be passed on to the account holder.
Cancellations
Order cancellations are only acceptable if received in writing and agreed by the Company. The Company reserves the right to invoice an amount equivalent to 50% of the value of the cancelled order. For special order Items, outside the standard UK stock, cancelled orders will be charged at your usual buying price.
Point of Sale
Where a stand has been supplied, this remains the total property of Tool Marketing Company Ltd, however, any risk in the stands will pass on to the customer upon delivery. The stands are only to be used for the purpose of Tool Marketing Company Ltd products. Stands must be fully stocked in accordance with the requirements and must be kept in good condition. Any damage or defacement of the stand can result in a charge. Tool Marketing Company reserve the right to remove the stands at any given time.
Third party platforms and marketplaces
As part of our protection for the brands we sell, selling on 3rd Party platforms is not permitted unless authorised by the Company. The company reserves the right to ask for removal of products at any time.
Warranty Claims and returns
In the event of a warranty claim the company reserves the right as its option to repair and return the product, exchange new for old or credit the original cost of the product. All returned goods will be inspected by the Company. If we deem the item to have been misused it will not be covered under warranty. No credit or replacement is available for goods returned to us if supplied more than 12 months previously. The company will not accept any other form of return not described under Warranty claims unless in extreme circumstances. Any returns are at the Companies discretion and will come with a 20% restocking fee.
Designs, Logos and Trademarks
Any designs, logos or trademarks are only allowed to be used with permission from the Company. Some manufacturers require a signed agreement. Please contact us before using images, logos or text.
Part Delivery/Lost or Damaged Goods
In the event of a part delivery or goods that are damaged, the Company must be notified within 2 working days. Claims for non-delivery should be notified within 5 days of the invoice date.
Specifications
We reserve the right to change specifications published without notice.
Value Added Tax
VAT will be charged on all orders at the standard rate at the time of order.
Prices
The Company reserves the right to change prices without notice. Prices charged will be those ruling at the time of despatch unless otherwise agreed.
